1. BINDING EFFECT
These following terms of use (the “Terms of Use”) constitute a binding agreement between Orionis Biosciences Inc., (including current and future affiliates and subsidiaries, “Orionis”) and the person (“you” or “your”) accessing orionisbio.com (including any successor site) (the “Site”). If you accept or agree to these Terms of Use on behalf of a Orionis or other legal entity, you represent, warrant, and covenant that you have the authority to bind that Orionis or other legal entity to these Terms of Use and, in such event, “you” and “your” will refer and apply to that Orionis or other legal entity. Any reference to the singular in these Terms of Use includes the plural and vice versa and reference to a gender includes the other gender unless the context requires otherwise. Any reference to a “person” in these Terms of Use includes any individual, firm, unincorporated association or body corporate. You agree to abide by these Terms of Use, as they may be amended by Orionis from time to time in its sole discretion. BY USING THE SITE YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD AND THAT YOU ARE ABLE TO ENTER INTO THIS AGREEMENT.

The burden of proving that any Content does not violate any laws or third party rights rests solely with you; (iii) upload, download, display, perform, transmit, or otherwise distribute any Content on the Site that: (a) is libelous, defamatory, obscene, pornographic, abusive, or threatening; or (b) advocates or encourages conduct that could constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national, or foreign law or regulation; (iv) not include any Content or communications qualifying as, upon Orionis’s sole discretion, surveys, contests, pyramid schemes, chain letters, junk mail, spam, or unsolicited messages; upload of viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or similar software; (v) create a false identity for the purpose of misleading others; (vi) copy, modify, create a derivative work from, reverse engineer or reverse assemble the Site, or otherwise attempt to discover any source code, or allow any third party to do so; (vii) use the Site in any manner that damages, disables, overburdens, or impairs the Site or interferes with any other party’s use and enjoyment of the Site; (viii) mirror or frame the Site or any part of it on any other website or webpage; (ix) access the Site by any means other than through the interface that is provided by Orionis for use in accessing the Site; or (x) use the Site for any purpose or in any manner that is unlawful.
Any violation of system or network security may subject you to civil and/or criminal liability. If you violate any of the foregoing terms, Orionis reserves the right to terminate your use of the Site. To ensure that Orionis provides a high quality experience for you and for other users of the Site, you agree that Orionis or its representatives may access your account and records on a case-by-case basis to investigate complaints or allegations of abuse, infringement of third party rights, or other unauthorized uses of the Site.
